Contest Rules Agreement

This Agreement either replicates various aspects of our User Agreement or creates new conditions for use of the Contest service.  Our goal is for all users to behave fairly, ethically, and legally when using Contest.

Agreement Highlights:

-          We keep all detailed invention information confidential.

-          No cheaters. No one related to Host or IdeaTango, LLC can participate in the Challenge.  Don’t tamper or try to circumvent the system or you’ll be penalized and booted off.

-          We may use non-confidential information for marketing purposes.

-          You cannot sue us if something goes wrong between you and the Host.

-          All other items are carried over from the User Agreement and Privacy Policy.

Confidentiality:

Any submission of detailed information or files describing an invention remains Confidential Information (as defined below) between the submitting user and IdeaTango, LLC.  We will not disclose to any third party or use for any purpose, any Confidential Information without the express written consent of the owner of the Confidential Information.  These confidentiality obligations shall not apply to Confidential Information which: a) is in the public domain, or which was publicly known or available on the date your originally accepted this Agreement (“Effective Date”); or b) after the Effective Date becomes available to the public in a manner not involving a breach of any duty under this Agreement.  Nothing herein shall preclude the ultimate disclosure of any information required by law.  “Confidential Information” includes:

·  All information set forth in the password protected areas of the Service ("Service Information"), (the presentation of Service Information via the Service shall not be deemed to be a public disclosure for purposes of this Agreement and shall not operate as an exclusion from Confidential Information); and

·  Any Work Product, Submission, or Proposal relating to this IdeaTango Contest.

Eligibility:

Open only to U.S. residents, who are 18 years of age or older as of date of Effective Date. Employees of IdeaTango, LLC, Host, Web masters, Web suppliers and persons engaged in any marketing material for any Contest, their respective parent, affiliates, subsidiaries, officers, directors, advisors, advertising and promotion agencies, their immediate family members {parents, siblings, children, (natural, adopted, foster) and spouse}, wherever they reside and/or those living in the same household (whether or not related) of each are not eligible. This offer is void wherever prohibited and subject to all federal, state and local laws.

Records:

IdeaTango, LLC will keep, in a restricted and secure location, all submitted records and documents in case of future legal action against IdeaTango, LLC or any of its users.

Use of Non-Confidential Information:

Prize Winners acknowledge and agree that their entry materials may be reproduced, promoted and publicized by IdeaTango in any way IdeaTango sees fit. Winners hereby grant IdeaTango, its parent, affiliates, subsidiaries, assigns, licensees, and legal representatives the irrevocable, perpetual, worldwide right to edit the entry materials, distribute, have distributed, publicly and privately display, communicate, transmit, have transmitted, and promote the entry materials (as such may be edited and modified by IdeaTango in its discretion) for editorial, commercial, promotional and all other purposes.  Ownership of the invention shall remain with the entrant unless otherwise agreed in writing with Contest Host (the sponsor of the Contest). Acceptance of any prize or determination of Nominee constitutes permission to use Winners’ or Nominees’ names, likenesses, hometowns, and Winners’ photographs and entry submissions or a brief description of Nominees’ entry submissions, without further compensation, except where prohibited by law. 

Indemnification:

Taxes, if any, related to the prize are the responsibility of the individual Winner. No responsibility or liability is assumed for damages, losses or injury resulting from acceptance or use of any prize. IdeaTango and its agents are not responsible for deliveries or any failure to deliver by any courier or postal service, technical, hardware, software or telephone or facsimile malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in this Contest or by any human error that may occur in the processing of the entries in this Contest. No responsibility is assumed for lost, misdirected, illegible, or damaged entries.  IdeaTango reserves the right, in its sole discretion, to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Contest or Web site; violates the official rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, IdeaTango reserves the right to seek damages from any such person to the fullest extent permitted by law. IdeaTango’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. IdeaTango and each of its parent, affiliates, officers, directors, agents, and employees shall have no liability or responsibility for any claim arising in connection with participation in this Contest or any prize awarded. Winners and entrants assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Contest or use or redemption of any prize.

Release:

By submitting an entry you represent and warrant that: (i) to the best of your knowledge, understanding and belief, the invention neither infringes on any patent, trademark or copyright or any other third-party right nor does it violate any applicable law or regulation, (ii) you have the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary patent, trademark, copyright and other related rights to the invention, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity; (iii) the information contained in your entry is accurate, complete and correct and represents your own new, novel invention; and (iv) you authorize IdeaTango and its representatives to use your name, likeness, hometown and brief description of your invention when contacting the local press. You hereby hold IdeaTango harmless from and against any third party claim arising from use, manufacture or sale of the invention. You further understand and agree that both the Host and its agents are involved in the business of researching and developing many ideas for new products.  Host and its agents may have previously received, or may receive third-party inventions, or Host may be developing an idea similar or identical to your invention. You agree that participating in the Contest will not in any way limit Host’s or its agents’ right to use any such similar invention, as Host or its agents deem appropriate and you will not have any claim against IdeaTango, Host and/or any of its agents with regard to any such use.  You hereby represent and warrant that you have read these rules and understand and are fully familiar with them and that, if necessary, you sought independent legal advice.

All other terms are in accordance to the Privacy Policy and User Agreement .
